These Terms of Service (“Terms”) are a binding agreement between you and ASI Solutions, a Wyoming (USA) limited liability company with its registered address at 30 N Gould St, STE R, Sheridan, WY 82801, USA (“Tabwise”, “we”, “us”), which operates and distributes Tabwise. They govern your use of the Tabwise browser extension, the tabwise.xyz website, and the related APIs and services (together, the “Service”).
By installing the extension, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1. The Service
Tabwise lets you ask questions about the web page you are viewing. To provide answers, the extension sends page-derived content (such as the page title, URL, extracted text, selections, or transcripts on supported sites), your question, and optional conversation history to our servers, which process it with third-party AI model providers and, where relevant, web-search providers.
AI output disclaimer. Answers are generated by artificial intelligence. They may be inaccurate, incomplete, outdated, or misleading, and are provided for informational purposes only. They are not professional advice (legal, medical, financial, or otherwise). You are responsible for verifying output before relying on it.
2. Eligibility
You must be at least 13 years old — or older where required by the law of your country (for example, 16 in parts of the EU) — to use the Service. By using the Service you represent that you meet this requirement and that you are not barred from using the Service under applicable law.
3. Your account
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account.
- Notify us promptly at [email protected] if you suspect unauthorized use.
- We may suspend or reclaim accounts that are inactive, abusive, or created to evade limits or enforcement.
4. Plans, billing, and cancellation
- Free plan. The free plan includes a limited monthly question quota and may exclude features (such as voice input). We may change free-plan limits at any time.
- Paid plans. Paid subscriptions are billed in advance on a recurring (monthly or annual) basis through our payment provider and renew automatically until cancelled.
- Cancellation. You may cancel at any time from your account page or by contacting support; you keep paid features until the end of the current billing period.
- Refunds. You can request a full refund within 14 days of any charge, as described in our return policy.
- Changes. We may change prices or plan features. For paid plans, changes take effect at your next renewal, and we will give you reasonable advance notice.
- Taxes. Prices may exclude taxes; you are responsible for any applicable taxes, levies, or duties.
5. Acceptable use
You agree that you will not, and will not permit anyone else to:
- use the Service in violation of any applicable law or regulation;
- submit content you do not have the right to process, or that infringes intellectual-property, privacy, or other rights of any person;
- use the Service to generate or distribute content that is unlawful, harmful, deceptive, or harassing;
- circumvent or attempt to circumvent quotas, rate limits, authentication, or other technical or usage controls;
- probe, scan, or test the vulnerability of the Service, or interfere with its operation or that of its providers;
- scrape, harvest, or bulk-extract data from the Service, or access it by automated means other than the extension and documented APIs;
- reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by law;
- resell, sublicense, or provide the Service to third parties as a service bureau, or use it to build a competing product;
- misrepresent AI-generated output as human-authored where that matters, or use output to violate others’ rights.
We may investigate violations and may throttle, suspend, or terminate accounts engaged in them.
6. Your content
“Your Content” means the material you submit to the Service, including questions, page content the extension extracts at your direction, voice recordings, and conversation history. You retain all rights to Your Content.
You grant Tabwise a worldwide, non-exclusive, royalty-free license to host, process, transmit, reproduce, and display Your Content solely as needed to (a) operate and provide the Service, including sending it to the model, search, and infrastructure providers that power it, and (b) maintain, secure, and improve the Service. This license ends when Your Content is deleted from our systems, except where retention is required by law.
You are solely responsible for Your Content and represent that you have all rights needed to submit it under these Terms.
7. Output
Subject to your compliance with these Terms, and to the extent we hold any rights in it, we assign to you our right, title, and interest in the AI-generated responses the Service produces for you (“Output”). Because AI models can produce similar or identical output for different users, we cannot guarantee Output is unique to you, and this assignment does not extend to other users’ output. You are responsible for how you use Output.
8. Tabwise intellectual property
The Service — including the extension, website, APIs, software, design, and the Tabwise name and logo — is owned by Tabwise or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved. These Terms do not grant you any right to use our trademarks or branding.
9. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.
10. Third-party services
The Service depends on third parties, including AI model providers (such as OpenRouter and the underlying model vendors), web-search providers, payment processors, and hosting infrastructure. Their availability and conduct are outside our control, and features that depend on them may change or become unavailable. Web pages you use Tabwise on, and links in answers, belong to their respective owners and are subject to their own terms.
11. Privacy
Our collection and use of information is described in the Privacy Policy. By using the Service you consent to that processing, including the transfer of page content and questions to the third-party providers needed to answer them.
12. Termination
You may stop using the Service at any time and may request deletion of your account. We may suspend or terminate your access (with or without notice) if you materially breach these Terms, if your use creates risk or possible legal exposure for us, or if we discontinue the Service. Upon termination your license ends and we may delete your account data after a reasonable period. Sections that by their nature should survive — including 6 through 9 and 13 through 16 — survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABWISE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY US DOLLARS (US$50). THESE LIMITS DO NOT APPLY WHERE THEY CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
15. Indemnification
You will indemnify and hold harmless Tabwise from and against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. Disputes will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction — except that if you are a consumer, you keep any protection and venue rights granted by the mandatory law of your country of residence. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for 30 days.
17. Changes to the Service or these Terms
We are continuously improving the Service and may add, change, or remove features. We may also revise these Terms. If a change is material, we will provide reasonable notice — for example by email, in the extension, or on this page — and update the “last updated” date above. Changes apply prospectively; your continued use after they take effect constitutes acceptance. If you do not agree, stop using the Service and cancel your subscription.
18. General
- Entire agreement. These Terms, the Privacy Policy, and the return policy are the entire agreement between you and Tabwise regarding the Service.
- Severability. If a provision is found unenforceable, the rest remains in effect and the provision will be enforced to the maximum extent permitted.
- No waiver. Our failure to enforce a provision is not a waiver of the right to do so later.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
- Export. You must comply with applicable export-control and sanctions laws when using the Service.
